Limited Warranty Agreement

This Limited Warranty Agreement ("Agreement") is made by and between Nimbus Suspensions ("Nimbus," "We," "Us," or "Our") and the original retail purchaser ("Purchaser" or "You") of Nimbus Oleo-Pneumatic Suspension Units ("Product" or "Products").

PLEASE READ THIS AGREEMENT CAREFULLY. IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR RIGHTS AND OBLIGATIONS, AS WELL AS LIMITATIONS AND EXCLUSIONS THAT MAY APPLY TO YOU.

1.⁠ ⁠Warranty Coverage

Nimbus warrants that its Products, when purchased new from an authorized Nimbus dealer and properly installed and maintained, will be free from defects in material and workmanship under normal use and service conditions, subject to the terms and conditions set forth herein.

1.1. Components Covered and Warranty Duration

• Oleo-Pneumatic Suspension Unit (Main Housing, Cylinder, Piston, Shaft, Reservoir, and Structural Components): Nimbus provides a Lifetime Limited Warranty to the original retail purchaser for as long as the original purchaser owns the vehicle on which the Products were originally installed. This warranty covers defects in material and workmanship of the core structural components of the oleo-pneumatic unit.

• Internal Wear Components (Seals, Bushings, Ball Joints, Valves, Internal Fluid, and other serviceable components within the unit): Nimbus provides a One (1) Year or 25,000 Miles Limited Warranty, whichever occurs first, against manufacturing defects in material and workmanship. This acknowledges the dynamic nature and expected wear of these components under normal operating conditions.

• Coatings and Finishes (e.g., anodizing, plating, paint): Nimbus provides a One (1) Year Limited Warranty against defects in material and workmanship at the time of sale. Degradation of coatings and finishes over time due to environmental conditions, exposure, or external damage is not covered.

1.2. Scope of Coverage

This warranty is specifically for the repair or replacement of defective Nimbus Products only, at Nimbus's sole discretion.

2.⁠ ⁠Conditions and Requirements for Warranty Validity

To maintain the validity of this Limited Warranty, the Purchaser must adhere to the following conditions:

2.1. Original Purchaser and Proof of Purchase

This warranty is extended only to the original retail purchaser of the new Nimbus Product and is non-transferable to subsequent owners. All warranty claims must be accompanied by clear, verifiable proof of purchase (e.g., original invoice or receipt) to validate ownership and purchase date.  

2.2. Proper Installation and Use

The Product must be:

Installed strictly in accordance with Nimbus's installation instructions and all relevant vehicle safety and compliance laws.

Used for its original designed purpose and in accordance with Nimbus's product information and all relevant vehicle safety and compliance laws.  

2.3. Mandatory Maintenance Schedule

The Purchaser is responsible for ensuring that the Nimbus Products are properly maintained as specified by Nimbus. Failure to adhere to the following mandatory maintenance schedule will void this warranty for the affected components:

• Periodic Inspection and Torque Checks: All mounting bolts, fasteners, and connections related to the Nimbus Oleo-Pneumatic Suspension Units must be checked for proper tightness and torque after the first 100 miles of use and every 3,000 miles thereafter. Professional mechanic inspections are highly recommended at these intervals.  

• Fluid and Seal Integrity Checks: Regular visual inspections for fluid leaks, damage to seals, and proper operation of the unit are required. Any signs of leakage or damage should be addressed promptly.

• Cleaning: Keep the exterior of the oleo-pneumatic units clean from excessive dirt, mud, and corrosive substances to prevent premature wear of seals and finishes.

3.⁠ ⁠Exclusions from Warranty Coverage

This Limited Warranty does not cover or include:

• Normal Wear and Tear: Reduced effectiveness, degradation, or cosmetic changes due to age, normal use, or expected operational wear of components (e.g., gradual fading of finishes, expected wear of internal seals beyond their specific warranty period).  

• Abuse, Neglect, or Misuse: Damage resulting from intentional misuse, improper handling, overloading, unusual, improper, or negligent use, or a clear lack of care or maintenance.  

• Improper Installation or Maintenance: Issues arising from installation not in accordance with Nimbus instructions, unauthorized repairs, or failure to perform required maintenance.  

• Racing or Competition Use: Products used in formal or informal competitive events (e.g., racing, rallying, hill climbing, speed trials).  

• Modifications or Non-Nimbus Parts: Alterations to the Nimbus Product itself, or the use of non-Nimbus components in conjunction with the Product.  

• Crash or Accident Damage: Damage resulting from collisions, road hazards, vandalism, or other accidents.  

Environmental Factors: Damage caused by acts of nature, terrorism, or use in highly corrosive environments (e.g., underground mining).  

• Oversized Tire and Wheel Combinations: Failures directly attributable to the use of tire and wheel combinations that exceed vehicle or Product specifications, as these significantly increase stress on suspension components.  

• Commercial Application: Products used in commercial applications (e.g., taxis, hire vehicles, mining industry) unless a specific commercial warranty is explicitly provided by Nimbus.  

• Purchases from Unauthorized Vendors: Products purchased from unauthorized dealers or vendors.  

• Lack of Anti-Travel Straps: Damage resulting from the Product operating in hyper-extension, such as when the vehicle is jumping or experiences extreme articulation, if anti-travel straps are not properly installed to prevent the suspension from bearing the full weight of the wheels and drivetrain in such scenarios.

• Incidental, Consequential, or Punitive Damages: This warranty covers only the repair or replacement of the defective Product. It explicitly excludes associated costs such as labor charges for removal or installation, alignment services, costs incurred due to vehicle downtime, lost profits, or any other indirect, incidental, consequential, or punitive damages that may arise from a Product failure.  

4.⁠ ⁠Warranty Claim Process

If You believe Your Nimbus Product has a manufacturing defect covered by this warranty, please follow these steps:

4.1. Initial Contact

Immediately contact Nimbus Suspensions Customer Service as soon as You become aware of a possible defect. Do not remove the fitted Product from Your vehicle before contacting Us, unless instructed to do so.  

4.2. Obtain Return Authorization (RA) Number

You will be required to obtain a Return Authorization (RA) number from Nimbus Customer Service. No Product returns will be accepted without a valid RA number.  

4.3. Required Documentation

To submit a claim, You must provide:

A copy of Your original purchase receipt or invoice.  

A detailed description of the problem, including how and when it occurred.

Clear photos or videos of the issue from multiple angles.  

4.4. Shipping Responsibilities

You are responsible for safely removing the Product from the vehicle and covering the shipping costs to send the Product to Nimbus Suspensions for evaluation. Nimbus recommends using a shipping method with tracking and insurance. Nimbus is not responsible for missing or damaged packages. If the claim is approved and deemed a manufacturing defect, Nimbus will cover the return freight costs for the repaired or replaced Product.  

4.5. Evaluation and Resolution

Upon receipt of the Product and all required documentation, Nimbus's Quality Department will evaluate the claim. Nimbus reserves the sole discretion to repair, replace, or refund the purchase price of the defective Product. This repair, replacement, or refund is the exclusive remedy under this warranty. You will be contacted with the evaluation results and recommended next steps.  

5.⁠ ⁠Fraud Protection Measures

Nimbus employs robust measures to protect against fraudulent claims and maintain the integrity of its warranty program:

• Verification of Original Purchase: Strict adherence to proof of purchase requirements and verification that the Product was purchased from an authorized Nimbus dealer.  

• Return Authorization System: Mandatory RA numbers for all returns to ensure proper tracking and pre-screening of claims.  

• Technical Evaluation: Thorough physical inspection and technical assessment of returned Products by qualified personnel to determine the root cause of failure and verify if it falls under covered defects or exclusions.  

• Enforcement of Exclusions: Strict enforcement of all exclusion clauses, particularly those related to abuse, neglect, improper installation, modifications, and use in competitive events.  

• Maintenance Compliance Verification: Claims may be denied if there is evidence of failure to adhere to the mandatory maintenance schedule.  

• Data Exchange: Nimbus may exchange information with other companies and organizations for credit fraud protection and risk reduction, where legally permissible.  

6.⁠ ⁠Limitation of Liability

EXCEPT AS EXPRESSLY PROVIDED IN THIS LIMITED WARRANTY, NIMBUS SUSPENSIONS MAKES NO OTHER EXPRESS OR IMPLIED REPRESENTATIONS, GUARANTEES, CONDITIONS, OR WARRANTIES. ANY OTHER PERFORMANCE STANDARDS, GUARANTEES, CONDITIONS, AND WARRANTIES ARE EXPRESSLY EXCLUDED AND DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW, EVEN IF THE EXPRESS LIMITED WARRANTY FAILS OF ITS ESSENTIAL PURPOSE.

ANY IMPLIED WARRANTIES IMPOSED BY LAW, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, ARE LIMITED TO THE DURATION OF THE STATED LIMITED WARRANTY PERIODS DESCRIBED HEREIN.  

TO THE FULLEST EXTENT ALLOWED BY LAW, NIMBUS SUSPENSIONS WILL NOT BE LIABLE FOR DAMAGES EXCEEDING THE PRODUCT'S PURCHASE PRICE, OR FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND, REGARDLESS OF WHETHER NIMBUS WAS ADVISED OF SUCH POSSIBILITIES. NIMBUS IS NOT LIABLE FOR CLAIMS MADE BY A THIRD PARTY OR BY YOU ON BEHALF OF A THIRD PARTY.  

7.⁠ ⁠Governing Law and Consumer Rights

This warranty gives You specific legal rights, and You may also have other rights which vary from state to state or country to country. Some states and countries do not allow the exclusion or limitation of incidental or consequential damages or limitations on how long an implied warranty lasts, so certain exclusions or limitations might not apply to You. The benefits provided by this warranty are in addition to any other rights and remedies You have under relevant consumer laws.
